Ashurst Perkins Coie LLP is seeking a talented Corporate Paralegal to support the Emerging Companies & Venture Capital practice in San Francisco and Los Angeles. The role involves high-level corporate and transactional duties, client confidentiality, and handling a large client base with varied industries.

Ideal candidates have 6+ years as a corporate paralegal, a 4-year degree (paralegal certificate preferred), and strong CA/DE corporate law knowledge.

Qualifications

• Minimum 6 years as a corporate paralegal for public or private companies.
• 4-year degree required; paralegal certificate preferred.
• Strong knowledge of CA and Delaware corporate law and securities.

Responsibilities

• Draft and file incorporation, formation, amendment, dissolution for corporations and LLCs.
• Conduct UCC searches and prepare financing statements.
• Manage corporate records, ownership ledgers, and filings.
• Prepare corporate documents and UCC statements for closings.
• Draft securities transfer agreements and coordinate financing closings.
• Perform corporate diligence and summarize findings.
• Train and supervise other paralegals; coordinate workloads.
