Job summary

Chelsea Search Group seeks a Senior Corporate Paralegal to provide high‑level corporate maintenance and transactional support for private and public clients. The role operates with minimal attorney guidance and may perform tasks typically done by associates under supervision.

Responsibilities include entity formation, closings, opinions, filings, records organization, stock certs, and due diligence. Overtime and strong communication are essential.

Qualifications

• Bachelor’s degree required.
• 5+ years of transactional experience in Private Equity, Capital Markets and M&A.
• Overtime availability as needed.
• Excellent oral and written communication skills.
• Strong attention to detail with ability to manage multiple priorities.
• Ability to handle confidential information discreetly.
• Proficient in Microsoft Office; advanced Excel preferred.
• Familiarity with Carta or Shareworks preferred.

Responsibilities

• Assist in formation, maintenance, and dissolution of corporate entities and related documents.
• Coordinate closings and prepare related documents.
• Prepare legal opinions and assemble back‑up.
• Draft and file corporate and securities filings.
• Organize corporate records and conduct due diligence reviews.
• Prepare stock certificates and maintain capitalization tables and option records.
• Research Blue Sky issues and prepare required filings.
• Provide training to case assistants and junior paralegals.
• Other tasks as assigned or required.
