Job summary

ABA Search, Inc. is seeking a seasoned paralegal to support our fund formation and venture capital practice in New York. You will help prepare and maintain organizational documents, draft partnership and LLC agreements, and perform due diligence for investor matters.

The role requires at least five years of paralegal experience, a Bachelor's degree, proficiency with Microsoft Office and iManage, and the ability to work independently in a fast-paced firm environment with multiple supervisors.

THE ROLE YOU WILL PLAY

• Support all facets of emerging company and venture fund work, including the preparation and maintenance of organizational documents
• Prepare partnership and limited liability company agreements
• Prepare side letters, transfer agreements, admission agreements, and other amendments
• Conduct investor suitability due diligence
• Research federal and state securities regulations in connection with fund formations
• Prepare and file requisite notices
• Conduct due diligence review of documents and assist with the preparation of opinions and supporting materials in connection with fund formation
• Handle SEC compliance reporting on behalf of venture fund clients with respect to their public company stock portfolios
• Complete time sheets, e‑timelogs, and other administrative duties in a timely manner

BACKGROUND PROFILE

• Bachelor's degree required
• Minimum of 5 years of paralegal experience, preferably in fund formation
• Willingness and availability to work overtime as required
• Ability to bill a minimum of 1,600 hours annually
• Demonstrated proficiency in the Microsoft Office suite, iManage, and other standard firm applications (training provided during onboarding)
• Paralegal certificate preferred
• Ability to work independently and as part of a team in a fast‑paced environment with multiple supervisors, meet deadlines, and maintain flexibility with work assignments and schedules
• Strong organizational and prioritization skills, including the ability to delegate tasks to service departments when necessary
• Excellent written communication and proofreading skills with close attention to detail
