Job summary

Hermeus is seeking a Sr. Counsel, Corporate & Employment to work directly with the General Counsel on financing, corporate governance, and employment matters as we scale in the aerospace sector.

You will lead venture financings, manage equity plans and 409A cadence, oversee board and committee interactions, and partner with People, Finance, and outside counsel to accelerate growth while maintaining compliance.

Qualifications

• Juris Doctor (JD) from an accredited law school.
• Active membership in good standing with at least one U.S. state bar.
• 8+ years of total legal experience, including EC/VC or corporate practice.
• In-house startup/high-growth experience preferred.
• Experience with venture and/or debt financings and corporate governance.

Responsibilities

• Lead venture and debt financings: diligence, board and stockholder approvals, closing and post-closing.
• Support audit, equity plan administration, government contracts compliance, cap table hygiene, and 409A cadence.
• Build scalable processes and templates; support M&A processes and IPO readiness.
• Manage outside counsel efficiently and align in-house resources.
• Oversee employment matters across the employee lifecycle and multi-state hiring.
