Job summary

Invesco in Atlanta seeks an attorney with 3–5 years of experience in federal securities laws and corporate governance to manage securities reporting and compliance. This role partners with Investor Relations, Corporate Communications, and business units on regulatory filings and governance matters.

Responsibilities include policy development for SEC regulations, Sarbanes-Oxley, and NYSE rules; participation in board materials; and advising management on treasury actions, stock issuances, and

Qualifications

• 3–5 years of significant legal experience in federal securities laws and practice.
• 3–5 years of experience with mergers and acquisitions and other corporate matters.
• Experience with technology or litigation matters preferred.
• Bar admission to at least one U.S. state and in good standing.

Responsibilities

• Primary and significant public company securities reporting and compliance responsibility.
• Developing and maintaining policies and procedures for SEC Regulations, Sarbanes-Oxley, NYSE Regulations, Dodd-Frank.
• Corporate governance, including preparing materials for board meetings and annual stockholder meetings.
• Reg FD, including supporting Investor Relations and Corporate Communications with regard to press releases and investor relations presentations.
• Collaborating with Corporate Development and other groups in mergers and acquisitions processes, including due diligence and closing.
• Advising and counseling executive management on treasury matters, including stock and debt issuances and refinancing.
