Job summary

Freenome Corporate Counsel will provide practical, business-oriented legal support across clinical, commercial, research, technology and strategic partnerships. You will draft and negotiate a broad range of agreements, advise cross-functional teams on legal risk, and manage matters from intake through signature and closeout.

You will partner closely with Clinical, Commercial, Corporate Development, Procurement, Finance, Quality, Regulatory, InfoSec, Product and Engineering.

Qualifications

• Juris Doctor from an accredited law school; active California bar or eligibility for in-house status.
• 5+ years drafting and negotiating complex agreements in biotech, life sciences, diagnostics, medical device or healthcare.
• Working knowledge of HIPAA, data privacy, information security and IP allocation.
• Hands-on with contract lifecycle management and electronic-signature systems.

Responsibilities

• Draft, review and negotiate a broad portfolio of commercial, vendor, professional services, technology, software, data, confidentiality and strategic collaboration agreements.
• Advise on contract structure and risk allocation, including liability, indemnification, insurance, IP, publications, data security, payment and termination terms.
• Translate business objectives into clear contract terms, coordinate internal review and approvals, and move negotiations forward with counterparties.
• Support strategic partnerships, commercialization initiatives, health-system collaborations and other business-critical programs with responsive, balanced legal guidance.
• Drive agreements from initial issue spotting and redlines through signature routing and delivery of fully executed agreements.
