Pixalate, Inc. is seeking an experienced Corporate Counsel in a hybrid role based in the DC area. The lawyer will handle governance, regulatory compliance, and SaaS licensing matters while coordinating across functions to support growth globally.

The position requires 5–7 years in a similar role, strong contract law knowledge, and exposure to fundraising activities. Hybrid work arrangements are available in the Mclean, VA area.

Qualificações

• Bachelor's degree required in relevant fields.
• Legal education (e.g., LLB, GLD, JD) required.
• Startup and SAAS experience preferred.
• Familiarity with GDPR, CCPA, CPA, CTDPA and global privacy laws.

Responsabilidades

• Coordinate preparation and filing of annual financial returns, corporation tax returns, VAT returns, R&D tax credit applications, and disclosures.
• Draft, negotiate, and amend SaaS subscription and data licensing agreements.
• Identify and leverage government incentives (e.g., R&D tax credits) to improve financial performance.
• Project management for the incorporation of international affiliates and subsidiaries.
• Draft intercompany agreements and board resolutions for international entities.
• Familiarity with OECD Guidelines for Multinational Enterprises.
• Collaborate with product teams to align legal terms with strategy.
• Support fundraising activities (Series A, Venture Debt, Convertible Notes).
