Pixalate, Inc. seeks an experienced Corporate Counsel to oversee governance, regulatory compliance, and complex SaaS contracts in a fast-growing multinational.

Requirements include 5–7 years in corporate governance, a law degree, startup/SAAS experience, and fluency in data privacy laws; responsibilities cover SaaS agreements, board resolutions, international affiliates, and fundraising support.

This remote-first role collaborates across functions and offers travel opportunities.

Qualifications

• Bachelor’s degree in law or related field.
• 5–7+ years of experience in corporate governance or a similar role.
• Startup and SAAS experience preferred.
• Familiarity with global information security and privacy laws (GDPR, CCPA, CPA, CTDPA).

Responsabilités

• Coordinate annual financial returns, tax returns, VAT, R&D tax credits, and disclosures.
• Draft, negotiate, and amend SaaS subscription and data licensing agreements.
• Identify government incentives to improve corporate financial performance.
• Project manage the incorporation of international affiliates and subsidiaries.
• Draft intercompany agreements and board resolutions for international entities.
• Familiarity with OECD Guidelines for Multinational Enterprises.
• Collaborate with product teams to align legal terms with product strategy.
• Support fundraising activities including Series A, venture debt, and convertible notes.
