Prizeout is a NYC-based fintech company offering rewards and loyalty solutions. We seek an experienced attorney to lead corporate governance, commercial, risk and compliance matters across teams including operations, finance, sales, technology and product.

The role emphasizes hands-on advisory on complex transactions, data privacy, and regulatory compliance, with remote work options and NYC travel for training and periodic meetings.

Qualificações

• JD from a top law school and active member of the NY State Bar in good standing.
• 5+ years of experience with a strong primary background in commercial / technology transactions with secondary experience in privacy law; Fintech experience is a plus.
• Corporate law, contract negotiation, and regulatory compliance is also preferable.
• Proven ability to build and maintain positive relationships with internal teams, external clients, and outside counsel.
• Expertise in negotiating, drafting, and modifying key terms of strategic commercial agreements.

Responsabilidades

• Provide legal advice and guidance on corporate governance, contractual matters and regulatory compliance; Ensure compliance with relevant regulations and laws.
• Review, draft, and negotiate contracts, agreements, and legal documents with clients, internal employees, vendors, and other parties.
• Assist with corporate transactions, including fundraising, mergers and acquisitions, and strategic partnerships.
• Counsel Prizeout’s product team on data and privacy compliance, commercial contracts, terms and conditions, privacy policies, consumer and financial regulatory compliance, go-to-market strategy, risk and marketing.
• Oversee corporate governance matters, boards, minutes, consents, equity compensation, IP protection, and data privacy compliance.
