TikTok USDS Joint Venture is seeking a senior corporate counsel to join our Legal and Compliance team in Washington, DC. This role focuses on corporate governance, board matters, and playing a key part in our ethics and compliance program.

The ideal candidate will bring extensive in-house corporate law and governance experience, with the ability to work across time zones, support executive leadership, and guide governance policy and risk management initiatives.

Qualifications

• Juris Doctorate from an ABA-accredited law school and qualified to practice law in the U.S.
• At least 12 years of proven combined corporate legal and governance in-house experience with a multinational company and/or top-tier law firm.
• Expert-level analytical skills and exceptional judgment addressing complex issues and regulatory impacts on the business.
• Highest standard of ethics and a proactive, collaborative mindset.
• Strong oral and written communication; ability to tailor messaging to diverse audiences.
• Demonstrated leadership with a hands-on, roll-up-your-sleeves approach to getting work done.

Responsibilities

• Advise General Counsel, executive leadership and Directors on governance best practices, fiduciary duties, and corporate administration.
• Lead the preparation, drafting, and management of board and committee agendas, resolutions, meeting minutes, and governance materials.
• Oversee general corporate law matters, including joint venture structure management, subsidiary creation and maintenance, and key strategic transactions.
• Partner with TikTok, finance, internal audit, and business units to operationalize governance initiatives and risk controls.
• Counsel executive leadership and collaborate with regulatory/government relations on changes impacting governance structures.
• Improve and maintain core corporate policies, governance frameworks, and ethics guidelines.
• Conduct internal compliance and governance training for stakeholders.
• Support a culture of integrity and compliance in the corporate ethics program.

Education

Juris Doctorate from an ABA-accredited law school

At least 12 years of corporate legal and governance in-house experience
