Overview
We have been retained by a HealthTech start-up seeking a Contracts Corporate Counsel. They are well-funded and looking to grow dramatically this year. The ideal candidate will provide reliable daily support by reviewing, drafting and negotiating all types of commercial agreements, participate in the administration, execution, and company adoption of the contract management system and related policies and procedures, and advise stakeholders on risk versus reward with a focus on substance over form.
Base pay range
$150,000.00/yr - $200,000.00/yr
Responsibilities
- Own the contracts management process from intake to completion for stakeholders throughout the organization. Draft, revise, negotiate, interpret, and advise on commercial agreements, including MSAs, NDAs, software agreements, professional services agreements, medical director agreements, real estate contracts, marketing contracts, and other necessary agreements.
- Act as a true business partner by providing advice on contract risk, legal obligations, risk mitigation, and best practices to achieve business objectives; guide business stakeholders to manage partnerships and vendor relationships.
- Provide cross-functional contracts administration training to new team members and senior leadership; review, revise, and approve policies and procedures related to the contracts management process.
- Foster open communication and collaborate with the legal team; support Contracts Managers to drive continuous improvement and incorporate best practices into contracting.
- Oversee the delivery of legal services and resources to accomplish company goals, strategies, and priorities.
Qualifications
- Doctoral degree (JD) from an accredited law school.
- Licensed to practice law and an active member of a state bar, with no negative disciplinary record.
- At least 5 years of law practice with significant experience reviewing, negotiating, and driving commercial contracts to execution.
- 5% travel may be required.
- Ideally some start-up/lean team experience; ability to wear multiple hats.
Preferred
- In-house experience at a healthcare company with strong knowledge of HIPAA and related healthcare legal requirements.
- Experience working with contract management software/platform.
- Proven expertise in contracts and procurement.
- Excellent communication and interpersonal skills; ability to interact effectively with all levels of the organization and external parties.
