Quality One seeks a Senior Corporate Counsel to work with the General Counsel and senior leadership on a broad commercial and transactional portfolio, including MSAs and strategic agreements.

You will build scalable contract-management processes, support governance, and assist with mergers and acquisitions across multiple business units.

Ideal candidates have 5–10 years of in-house or equivalent experience, a Juris Doctorate, and are in good standing with the Florida Bar.

Qualifikationen

• Must be a member in good standing with the State Bar of Florida or eligible for in-house counsel certification.
• 5–10 years of relevant legal experience in corporate/commercial matters, preferably including in-house or large-firm experience.
• JD from an accredited law school.

The Senior Corporate Counsel will work closely with the General Counsel and senior leadership across Q1, and their affiliated businesses. This is a broad commercial and transactional role focused on commercial contracting, corporate governance, operational legal support, and strategic transactions. The ideal candidate is an excellent drafter with strong commercial judgment who can move quickly, manage a fast-paced volume of matters, and help build the legal infrastructure needed to support a growing business.

Job Duties and Responsibilities

• Draft, review, and negotiate commercial and transactional agreements, including MSAs, customer and vendor agreements, services agreements, 3PL and logistics agreements, manufacturing and supply agreements, distribution agreements, and strategic partnership agreements.
• Partner with sales, operations, logistics, manufacturing, procurement, and finance on day-to-day commercial and operational legal matters.
• Support corporate governance and entity compliance, including governing documents, board and stockholder actions, resolutions, registrations, annual filings, and organizational records.
• Develop, review, and maintain internal policies, operational procedures, customer-facing terms, credit documents, and other recurring business documentation.
• Support mergers and acquisitions, strategic investments, financings, and other transactions, including diligence, drafting, negotiation, closing, and integration.
• Help build and maintain scalable contract-management, approval, and legal-operations processes.
• Identify legal and business risks and provide practical solutions that support the company's commercial objectives.
• Manage outside counsel where appropriate and support other legal matters as needed.

• Strong commercial contracting and drafting experience.
• Experience with corporate governance, entity management, and recurring corporate compliance matters.
• Experience supporting mergers and acquisitions or other significant corporate transactions.
• Excellent drafting, negotiation, analytical, and communication skills.
• Ability to manage a fast-paced environment, and with substantial volume of matters and competing priorities.
• Strong business judgment and a practical, solutions-oriented approach.
• Experience supporting manufacturing, third-party logistics, supply chain, telecommunications, or another operationally complex business is strongly preferred.
• Background in government contracting, technology-driven businesses, or other highly regulated industries preferred.
• Hands-on familiarity with contract lifecycle management (CLM) and legal technology platforms, including Lexion, DocuSign, or comparable tools.
• Working knowledge of equity management platforms, such as Carta is a plus.
• Demonstrated interest in or exposure to AI-enabled legal workflows, workflow automation, and the use of AI agents to improve legal and business processes is a plus.

• May require extended hours including evenings and weekends or occasional travel.

Certification and License Requirements

• Must be a member in good standing with the State Bar of Florida or be able to apply for an in-house counsel certification.
