Supporting Bracco Medical Technologies’ (“BMT”) cardiovascular and diagnostic imaging businesses. This role requires flexibility, adaptability, and independent work on a variety of complex matters. This individual must have the ability to work in a complex, fast-moving environment with the experience and confidence to independently identify legal issues, provide strategic legal advice and appropriately escalate issues. This individual must be able to make recommendations on a wide variety of projects with a vast array of issues. With a particular focus on commercial contracts and the review of marketing material, it is critical that this individual work collaboratively while fostering positive relationships with internal business partners and third-party vendors. This position requires a driven and initiative-taking individual with an ardent desire for learning and to mentor others as this position will have oversight of two paralegals. The primary geographies support are the United States and Europe. This role also requires collaboration with the Bracco-wide organizations on a wide array of matters.

Contracting

  • Draft and negotiate complex business agreements, including but not limited to, marketing, rebate, master service, sales, Group Purchasing Organization (GPO) and distribution agreements.
  • Serve as a point of escalation for agreement related questions and providing legal guidance to BMT paralegals to move agreements forward.
  • Provide high quality legal advice and serve as a trusted strategic partner to a variety of internal teams in a way that advances the business while addressing legal risks and protecting the business’ integrity and reputation.
  • May be required to prepare contract memorandum, briefs and revisions summarizing contractual requirements.
  • Proactively meet with internal stakeholders to discuss both legal and applicable business matters to develop sound and meaningful contracts for the business.
  • Accurately identify terms and conditions for escalation to general or senior counsel.
  • Provide post execution support and legal guidance for contract interpretation, obligations and enforcement.

Marketing Review

  • Provide comprehensive review of marketing material as the legal representative attending BMT marketing meetings, applying relevant FDA and FTC framework.
  • As needed, engage in discussions with regulatory and clinical personnel related to a wide range of marketing pieces, providing verbal and written feedback to business partners.
  • Pieces range from social media posts to health care professional video presentations.
  • Proactively review and respond to internal business partner questions and concerns; providing legal guidance as necessary, gathering additional information that may be necessary to address an outstanding legal issue or concern.
  • This may include responding to third party customer inquiries or drafting legal correspondence.
  • Counsel internal stakeholders in business units across BMT, concerning contractual matters, transactional issues, and general corporate issues.

Misc Additional

  • Conduct in-depth legal research on complex medical device laws/issues, including legal trends and case law analysis.
  • In collaboration with BMT paralegals, ensure the organization’s internal contract documents are accurate and well maintained, including: placing current and future contract templates on a review schedule to ensure necessary updates to meet standards as prescribed by BMT affiliates and current law. Identify opportunities to improve business processes and devise proposed plans to implement such changes.
  • Assist the General Counsel with other projects as assigned.

Qualifications (Knowledge, Skills & Abilities):

Minimum

  • 7+ years’ experience, preferably serving as an in-house counsel with experience and/or familiarity with medical device or healthcare industries.
  • J.D. and current admission to the Bar of at least one U.S. state/jurisdiction, remaining in good standing.
  • Experience with independent drafting, redlining, reviewing, and analyzing contracts including but not limited to, clinical trial agreements, GPO agreements, commercial, sales, and transactions.
  • Excellent oral and written communication skills. Ability to influence and build relationships/earn credibility quickly across broad global constituencies with competing priorities.
  • Demonstrated ability to own projects and consistently meeting timing and high-quality standards.
  • Ability to identify and define problems, collect relevant information, research, and analyze information and data to advise on risk and potential issues in highly complex and/or ambiguous situations. Solutions should present suitable options for the business balancing risk and reward.
  • Familiar with diverse, complex legal problems and adept at devising reasonable and creative solutions. Such ability must contain an aptitude for independent problem-solving with a proactive, can-do approach and strong commercial acumen.
  • Must have the ability to manage and resolve conflict effectively to move projects forward through final execution while delivering superior customer service to both internal stakeholders, affiliates, and external customers.
  • Excellent critical thinking, organizational, technical and analytical skills required.
  • Effective oral and written communication skills with the ability to communicate at various levels within the organization including business stakeholder management, staff, and contractors.
  • A self-starter with the ability to work independently in high pressure situations and own projects, take the initiative, and prioritize projects to meet timing and high-quality standards.
  • Proactively identify unmet needs and future legal issues and propose potential solutions to optimize outcomes and results for the company.
  • Ability to handle sensitive and proprietary information with discretion and confidentiality.

Preferred

  • Skills and ability to motivate and work with others to achieve desired results.
  • Must be able to clearly identify legal advice and business advice to internal stakeholders.
  • Knowledge of laws and regulations applicable to global pharmaceutical and medical device companies, including commercial law, the Foreign Corrupt Practices Act, US fraud and abuse and false claims laws, FDA regulatory law, privacy laws (GDPR and HIPAA), advertising and marketing laws and regulations on interactions with healthcare professionals.
  • Experience with review and analysis of medical devices, or healthcare industry related marketing material.
  • Knowledge and experience in rebate agreements, supply chain and operations.
  • Supervisory experience of paralegals or associate attorneys

  • Mental demands – work is detail oriented, often with multiple priorities. The environment is deadline sensitive and may be exposed to high-pressure situations.

Compensation & Total Rewards:

Estimated Starting Salary Range: $185,000.00 - $205,000.00

*Estimated Starting Salary Range is reflective of the range Bracco Medical Technologies reasonably expects to pay for the position. The range provided is based on salary and market data specific to the position.
