Job summary

Thompson Coburn is seeking a Corporate Associate with 3+ years of experience to join its Corporate and Securities practice in Chicago, New York, Dallas, and Washington D.C. The candidate will advise buyers, sellers, private equity firms, and investors on mergers and acquisitions, divestitures, joint ventures, and securities transactions.

The ideal candidate will perform due diligence, draft and negotiate transaction documents, manage deal processes, and counsel on governance and securities law

Qualifications

• Experience in mergers & acquisitions, divestitures, joint ventures, and securities transactions.
• Ability to manage deal processes and counsel on governance and regulatory matters.
• Strong drafting and negotiation capabilities for complex transaction documents.

Responsibilities

• Advise buyers, sellers, private equity firms, and investors on corporate transactions.
• Lead or support due diligence, document drafting, and negotiating terms.
• Guide deal processes and advise on governance and securities compliance.
• Counsel clients on corporate matters and regulatory issues.
• Interact with clients to understand needs and provide strategic guidance.
