OGC seeks a full-time Senior Contract Administrator to provideexpertise in all aspects of the contract lifecycle across a widerange of contractual agreements.
The Office of General Counsel (OGC) represents the University ofPennsylvania and Penn Medicine in a wide range of legal matters.The Office supports the mission of the University and Penn Medicineby handling all legal matters generated by the activities of theinstitution, including operating units and subsidiaries thatcomprise the University and its Health System, as well as theschools, centers, and departments..
The Office provides legal advice and counsel across theinstitution, represents the institution in transactions andproceedings, and initiates action to protect the institution, andmanage risks.
This role provides comprehensive contract administration andtransactional support for Penn Medicine and its affiliatedentities, working closely with legal counsel, contractadministrators, and institutional stakeholders to facilitate the review, drafting, execution, and management of a wide range ofcontractual agreements. The position serves as a key resource inmaintaining contract compliance, supporting regulatory andcorporate governance activities, coordinating documentation and duediligence efforts, and ensuring the effective operation ofcentralized contract management systems primarily for the HealthSystem. Through collaboration with internal clients, outsidecounsel, and administrative partners, the role helps advanceorganizational objectives while supporting complex legal,operational, and strategic initiatives across the Health System,Perelman School of Medicine, and School of Nursing.
Assists counsel and contract administrators in the internal andexternal review, and drafting of contracts for the University ofPennsylvania Health System/Penn Medicine and in other transactionalmatters. Performs detailed contract review, drafting, andadministration in accordance with Health System administrative andOffice of the General Counsel objectives with emphasis on, variousagreements for receipt and provision of services, and equipment,consulting and staffing agreements and professional services,educational affiliations, graduate medical education , governmentaland commercial contracts, information systems, amendments, andother transactional matters.
Reviews and abstracts contractual provisions, either directly or incoordination with the business owner/originator and OGC staff, andreviews and abstracts contracts and associated documents to beentered into or maintained in the Contract Tracking System.Verifies compliance provisions in contracts. Trains and on-boardsUPHS users, coordinates with Supply Chain on updates to users'access privileges and maintains control of users/passwords lists.Acts as a liaison and "point of contact" person for ContractTracking System and for executed contracts for UPHS seniormanagement, administrators, Supply Chair, clinical chairs,physicians, clinical staff and administrative staff.
Maintains and updates contract data base systems and files; inputsdata into computer on various contract files and data bases andsets-up and maintains and organizes files, as needed. Works closelyand in coordination with counsel, contract administrators, ContractAdministration Office, Supply Chain and administrative support, aswell as clients and data base vendor in implementing andmaintenance of the Contract Tracking System for the Health Systemand its components; copying and filing as required. Maintainstickler system including data base systems for contractterminations, renewals, receipt of contract supportingdocumentation, contractual and corporate deadlines. Identifies andprocesses contracts that need to be evaluated through the ContractTracking System's contracted services evaluation system (CSE).
Works with, and provides assistance to in-house and outside counseland the contract administrators in representation of legal mattersfor the University of Pennsylvania Health System and its componentsas they relate to Health System contracts and corporateservices.
Drafts notices of termination and renewals or extension andamendments of contracts as required and in accordance with theContract Tracking System's email notifications. Preparesdocumentation necessary for approval and execution of contracts inthe Contract Tracking System in accordance with OGC and HealthSystem policies and procedures.
Develops reports, establishes schedule of reports to be run, andruns reports as required in relation to Contract Tracking System asdirected by OGC's Associate Director and Board Administrator andSenior Counsel and as needed or requested by Senior Management andother UPHS personnel.
Researches information and serves as a resource on various UPHScontractual issues and on diverse projects, as assigned. Assists inresponding to requests for production of documents stored in theContract Tracking System. Also assists in responding to requestsfor other productions of documents and due diligence activities,regulatory compliance and transactional matters as needed. Assistscounsel with legal and corporate research including obtainingcopies of statutes, regulations, ordinances, corporate filings andcases as directed.
Attends meetings with various Health System personnel, asrequired.
Performs other related duties in areas of responsibility, asassigned.
