Job summary

Brayman Construction Corporation in Saxonburg, PA seeks an experienced Corporate Counsel to serve as the company’s full-time primary legal advisor across multiple business entities.

Reporting to the CFO, you will partner with executives, operations, finance, safety, and HR to provide practical guidance that supports heavy civil projects while protecting Brayman’s interests. This is a hands-on leadership role requiring risk management and strategic negotiation.

Qualifications

• J.D. and valid attorney's license; must maintain good standing with at least 1 state bar throughout employment (PA, WV, VA, MD bars preferred).

Responsibilities

• Provide strategic legal counsel to executives on contracts, claims, compliance, insurance, corporate governance, and risk management.
• Draft, review, negotiate, and manage a broad range of commercial agreements including construction contracts, subcontracts, real estate transactions, leases, and NDAs.
• Advise project teams on contract interpretation, change orders, claims, risk allocation, and termination rights.
• Lead construction claims and dispute resolution through negotiation, mediation, arbitration, litigation, and coordination with outside counsel.
• Develop contract templates, legal policies, and best practices to reduce organizational risk and improve consistency.
• Ensure compliance with federal contracting requirements (FAR/DFARS, Davis-Bacon, Buy America, DBE/MBE/WBE).
• Support regulatory matters including OSHA/MSHA, corporate governance, M&A, real estate, insurance, licensing, and compliance.
• Supervise paralegals, manage outside counsel relationships and legal budgets, and report to executive leadership.
