Responsibilities

• Advise on design, implementation, and administration of executive compensation, equity incentive plans, and employee benefit programs.
• Draft, review, and negotiate compensation, equity/award and benefits related agreements.
• Provide counsel on compliance with ERISA, IRC Sections 409A, 280G, and other applicable laws.
• Collaborate with HR, Finance, and Corporate governance to prepare materials for boards and committees.
