Job summary

Alcoa seeks an Associate Counsel, Securities & Corporate Governance to join our Legal team at the Pittsburgh headquarters. This role provides legal guidance on securities law compliance, corporate governance, and public company disclosures while supporting the Corporate Secretary function.

The successful candidate will work across business functions and deepen expertise in corporate and securities law within a global public company, with exposure to transactions and regulatory requirements.

Qualifications

• J.D. and active license to practice law in at least one U.S. jurisdiction.
• 2–5 years of relevant experience in law firm and/or publicly traded company.
• Strong understanding of SEC reporting requirements and governance practices.

Responsibilities

• Provide legal counsel on U.S. securities laws, SEC regulations, and public company compliance.
• Review and support SEC filings and disclosures (Forms 10-K, 10-Q, 8-K).
• Advise on corporate governance, executive compensation, insider trading compliance, and Board materials.
• Monitor regulatory developments to ensure SEC/NYSE compliance.
• Support investor relations and external disclosures, and assist with financing transactions.
