Job summary

LHH US is seeking a Part-Time Contract Attorney (M&A and/or Transactional Real Estate) with strong experience in complex transactions. This remote role requires California licensure and offers a flexible part-time schedule working with business leaders and outside counsel.

Ideal candidates will handle drafting and negotiating transaction documents, due diligence, and risk assessment while providing practical, business-focused legal guidance in a fast-paced environment.

Qualifications

• Active California Bar admission in good standing.
• J.D. from an accredited law school.
• At least 5 years of legal experience in a law firm, in-house, or combination.
• Demonstrated experience with M&A transactions and/or transactional real estate matters.
• Strong drafting, negotiation, and due diligence skills.
• Ability to work independently and manage multiple priorities remotely.
• Practical, business-focused approach to legal problem solving.
• Excellent communication and stakeholder management skills.

Responsibilities

• Drafting, reviewing, and negotiating transaction documents
• Assisting with mergers, acquisitions, asset purchases, and corporate restructurings
• Supporting commercial real estate acquisitions, dispositions, leasing, financing, and development transactions
• Conducting legal due diligence and managing diligence processes
• Identifying and mitigating legal and business risks associated with complex transactions
• Collaborating with executive leadership and external advisors regarding transaction strategy and execution
• Reviewing and advising on corporate governance and contract-related matters as needed
• Managing multiple projects and deadlines in a fast-paced environment
