Requires 5+ years in commercial contracts and JD with active bar membership. Experience with virtual data rooms in live M&A is essential; remote work from the United States is supported.

Qualifications

• 5+ years of experience in commercial contract drafting, negotiation, or diligence review.
• Experience reviewing contracts in virtual data rooms during live M&A transactions.
• JD and active bar membership (or equivalent qualification).

Responsibilities

• Review and analyze complex commercial agreements and real-world M&A diligence scenarios to inform the design of advanced AI-assisted legal tools.
• Assess and annotate contractual provisions including change-of-control, assignment, termination, exclusivity, MFN, indemnification, and renewal terms.
• Differentiates and articulate material contract risks versus standard boilerplate with concise written rationales.
• Deliver structured, high-quality written feedback to enhance AI systems supporting transaction and deal professionals.
• Evaluate the severity of identified issues within the context of realistic M&A transactions.
• Apply practical judgment to commercial lease agreements and other relevant contract types as needed.
