Job summary

Arceus is seeking an experienced Corporate Counsel (Contractor) to join our remote U.S. team. You will serve as fractional counsel for startups, handling formation, financings, equity, and governance, with an emphasis on building playbooks and AI-assisted workflows.

You'll collaborate with founders and in-house teams to close deals quickly, manage SAFEs and convertible notes, and scale the practice with templates and checklists. This role is part-time and contract-based.

Qualifications

• J.D. with active bar membership and strong emerging-companies experience.
• Hands-on experience with SAFE, convertible notes, and priced rounds.
• Ability to explain complex terms to founders clearly.
• Experience drafting governance documents and equity plans.

Responsibilities

• Form formation, structure, and corporate housekeeping for startups.
• Draft and negotiate board consents, equity grants, and IP assignments.
• Coordinate with employment and commercial teams on approvals.
• Develop templates and playbooks for recurring work.
• Support AI-assisted workflows and process automation.
