Job summary

Rocket Software is seeking a Counsel to provide strategic commercial legal services to in-house clients, primarily Sales, and across multiple functions in the United States. The role center is structuring, drafting and negotiating IT contracts, with a focus on complex technology transactions and commercial deals.

You will counsel the business on legal risks, ensure regulatory compliance, and collaborate with teams to embed governance and policy changes across the company.

Qualifications

• Strong academic credentials, law degree.
• Licensed to practice law in at least one US State.
• Minimum of 2 years’ experience in a law firm and in-house positions.
• Experience in software and/or other high technology industries.
• Experience in international transactions.
• Experience with technology sales, licensing and procurement agreements.
• Demonstrated ability to draft, review and negotiate complex IT contracts.
• Knowledge of software licensing, data protection, export control and anti-corruption laws.
• Ability to clearly articulate and defend risk analysis and advise on risk.

Responsibilities

• Structure, draft and negotiate commercial agreements including direct sales and partner deals.
• Provide legal counsel on business deals and regulatory issues.
• Support management on laws and regulations across business units.
• Ensure compliance with data protection, anti-bribery, export controls.
• Maintain governance policies and monitor regulatory changes.
• Collaborate with the legal team on complex issues.
• Advise on risk and business strategy for technology transactions.
• Communicate clearly with executives and stakeholders.
