The ideal candidate has 6+ years post-qualification experience in corporate law, with strong experience in international contracts and M&A, able to manage complex projects independently from Randburg, Gauteng or anywhere in SA.

About the Role

Our client, a rapidly expanding international services firm, is seeking a highly skilled and experienced Corporate Attorney to join their legal team on a fully remote basis. This position offers the flexibility to work from anywhere within South Africa. You will be instrumental in providing comprehensive legal support to the company's global operations, with a primary focus on corporate governance, contract management, and compliance. The ideal candidate will possess a strong understanding of international business law, a meticulous attention to detail, and the ability to manage complex legal projects independently. Key Responsibilities

• Provide strategic legal advice on corporate governance matters, including board resolutions and compliance with company law.
• Draft, review, and negotiate a wide range of commercial agreements, including international contracts, NDAs, and service agreements.
• Manage the legal aspects of corporate restructurings, mergers, and acquisitions.
• Ensure compliance with relevant international and South African laws and regulations.
• Assist in developing and implementing corporate policies and procedures.
• Conduct legal research and provide opinions on complex legal issues.
• Manage external legal counsel and oversee litigation as required.
• Support the sales and business development teams with legal advice on contractual terms.
• Maintain up-to-date knowledge of legal developments affecting the company's operations.

Requirements

• Admitted Attorney with a minimum of 6 years of post-qualification experience in corporate law.
• Extensive experience in drafting and negotiating complex commercial and international contracts.
• Strong knowledge of corporate governance principles and company law.
• Experience with M&A transactions and corporate restructurings is highly desirable.
• Excellent analytical, problem-solving, and decision-making skills.
• Proven ability to work autonomously in a remote environment and manage time effectively.
