JOB SUMMARY & OBJECTIVES
The Registered Funds Staff Attorney will provide legal support and counsel on matters related to registered investment funds, including mutual funds, ETFs, and other regulated investment products. This role requires knowledge of the Investment Company Act of 1940, the Investment Advisers Act of 1940, SEC regulations, and other applicable laws governing registered funds.


ESSENTIAL JOB DUTIES & RESPONSIBILITIES
• Advise and assist on the structuring, formation, registration, and ongoing governance of registered investment funds.
• Prepare and review regulatory filings, including registration statements, prospectuses, shareholder reports, and other disclosure documents.
• Ensure compliance with SEC, FINRA, and other regulatory requirements affecting investment funds and their advisers.
• Provide legal guidance on fund operations, distribution, and marketing activities.
• Draft and negotiate fund-related agreements, including investment advisory, sub-advisory, distribution, and service provider agreements.
• Monitor and analyze regulatory developments impacting registered funds and assist in implementing necessary compliance changes.
• Support board meetings by preparing agendas, resolutions, and governance materials for fund boards of directors/trustees.
• Perform other duties as assigned.


EDUCATION
REQUIRED
• Juris Doctor (J.D.) from an accredited law school.

SKILLS AND EXPERIENCE
REQUIRED
• Strong contract negotiation and drafting skills.
• At least two years of experience in a law firm or other professional environment
• Excellent interpersonal, written & verbal communication skills
• Proficiency in MS Office Suite
• Demonstrated attention to detail
• Strong organizational skills and ability to prioritize and balance competing demands and manage multiple projects concurrently, meeting deadlines in a fast-paced professional environment
• Ability to work independently and collaboratively in a highly competitive and demanding environment
• Admission to the New York bar.

PREFERRED
• In-depth knowledge of the Investment Company Act of 1940, the Investment Advisers Act of 1940, and related securities laws.
• Experience with SEC filings and regulatory compliance for registered funds.
• 2+ years of experience in a law firm, asset management firm, or financial institution with a focus on registered investment funds.


PHYSICAL DEMANDS (REQUIRED TO PERFORM ESSENTIAL JOB FUNCTIONS)

WORK ENVIRONMENT
The worker is not substantially exposed to adverse environmental conditions as in typical office or administrative work (normal light, air and space in the work environment)

Salary Information

NY Only: The estimated base salary range for this position is $130,000 to $150,000 at the time of posting.

The actual salary offered will depend on a variety of factors, including without limitation, the qualifications of the individual applicant for the position, years of relevant experience, level of education attained, certifications or other professional licenses held, and if applicable, the location in which the applicant lives and/or from which they will be performing the job. This role is exempt meaning it is not overtime pay eligible.
