Job summary

Orion Placement invites a California-licensed attorney with 2+ years of lenders' representation in real estate transactions. You will draft senior loan docs, review titles, and manage due diligence for real estate JVs and complex financing structures.

The role offers hybrid work options in California, involvement with tax credit programs, and opportunities for growth within a collaborative, entrepreneurial environment.

Qualifications

• 2+ years representing lenders in real estate secured lending transactions.
• Experience drafting secured loan documents and/or JV agreements.
• Experience reviewing title commitments, recorded documents, and surveys.
• Strong academic credentials; tax credit transaction experience preferred.

Responsibilities

• Represent lenders in loans secured by real estate and investors in real estate joint ventures.
• Draft and negotiate senior real estate secured loan documents.
• Draft and review real estate JV partnership and operating agreements.
• Handle sophisticated real estate lending, JV financing, and community development transactions.
• Oversee title commitments, recorded documents, and surveys; supervise paralegal review.
• Assist with financings involving low-income housing, historic rehab, new markets, energy, and tax credits.
• Collaborate with experienced attorneys while developing transaction and client responsibility.

• Join a sophisticated real estate and community development finance practice handling complex, high-value transactions.
• Work directly on financings involving multifamily housing, office, hotel, industrial, and other major real estate projects.
• Gain exposure to innovative financing structures involving low-income housing, historic rehabilitation, new markets, energy, and other tax credit programs.
• Represent lenders making loans secured by real estate and investors investing in real estate joint ventures.
• Build meaningful experience in real estate lending, joint ventures, secured finance, title, survey, and transactional due diligence.

Note:

• Experience reviewing title commitments, recorded documents, and surveys.
• Strong legal writing and drafting skills.
• Strong academic credentials.
• Tax credit transaction experience preferred.
