This off-track position features a reduced billable-hour requirement and excludes client origination or firm-management responsibilities, allowing emphasis on legal counsel,

Qualifications

• Substantial experience from a large regional or national law firm, in-house legal department, or the U.S. SEC.
• SEC experience considered a significant plus.

Responsibilities

• Advise public companies on Securities Act of 1933 and Securities Exchange Act of 1934 matters, including securities offerings, capital markets transactions, periodic reporting (Forms 10-K, 10-Q, 8-K), proxy statements, and annual meeting matters.
• Provide corporate governance and board advisory support, and focus on client service and thought leadership with reduced emphasis on business development.
