Qualifications

• JD required with admission to NY bar.
• 2–5 years of private funds or related corporate/transactional law experience.
• Familiarity with private fund structures, investor documentation, and SEC/AML/KYC regs.
• Strong drafting, organizational and problem-solving skills.
• Excellent written and verbal communication.

Responsibilities

• Assist with fund formation and document drafting for private fund clients.
• Review investor subscription documents and maintain records.
• Coordinate investor onboarding and due diligence.
• Manage fund closings and closing documents.
• Prepare basic funds-related agreements and transfer documents.
• Assist with secondary transfers and MFN clause compendiums.
• Support AML/KYC reviews and regulatory compliance.
• Monitor regulatory developments and advise on best practices.
