Job summary

Pacific Life Insurance Company in Newport Beach, CA seeks a Private Fund Counsel to provide hands-on legal support across our private funds platform. You will help launch and operate private equity and private credit funds, and support investments as a limited partner in third‑party funds.

You will collaborate with private funds professionals, investment teams, compliance, tax, and operations from diligence through closing, mentoring junior staff as you grow in the role.

Qualifications

• J.D. from an accredited law school and active bar membership in good standing.
• At least 3 years of relevant private funds, investment management, or transactional experience.
• Familiarity with fund documents (LPAs, side letters, subscriptions, MFN forms) and fund finance basics.
• Strong drafting, negotiation, and organizational skills; ability to manage multiple time-sensitive matters.

Responsibilities

• Launch and manage proprietary private funds, including structuring, drafting, and negotiating LPAs, PPMs, and subscription docs.
• Advise on regulatory, compliance, and tax matters affecting private funds and LPAC governance.
• Support investments as LP in third‑party funds and coordinate with deal, compliance, and finance teams.
• Oversee paralegal and ops staff, develop templates, and improve scalable processes across the platform.
