Job summary

Oliver James Associates Ltd. is seeking an Assistant General Counsel to support its private fund and investment management business in Austin, TX.

This hands-on role will focus on fund formation, private placements, and regulatory matters, working closely with business, operations and compliance teams through the fund lifecycle. The ideal candidate has 4–8 years of legal experience, with strong experience in private funds, offering documents, and a solid grasp of the Investment Advisers Act and

Qualifications

• 4-8 years of legal experience.
• Experience at a private equity firm, hedge fund, asset manager, fund administrator or leading law firm.
• Strong private fund formation and offering document experience.
• Hands-on experience with PPMs, LPAs and subscription agreements.
• Strong knowledge of the Investment Advisers Act and U.S. securities laws.

Responsibilities

• Lead and support private fund formations and launches.
• Draft and negotiate PPMs, LPAs, subscription agreements and investor documents.
• Advise on private placements, capital raising, side letters and co-investments.
• Support ongoing fund operations and transactions.
• Advise on the Investment Advisers Act of 1940 and other U.S. securities laws.
