Job summary

Qualifications

• 6-15 years of meaningful corporate and transactional experience at a law firm or comparable legal environment.
• Significant experience handling M&A transactions and private equity investments.
• Experience representing sponsors, portfolio companies, founders, management teams, or strategic buyers.
• Strong drafting, negotiation, analytical, and client counseling skills.
• Demonstrated ability to manage multiple transactions and work effectively in a team-oriented environment.
• Excellent academic credentials and written and verbal communication skills.

Responsibilities

• Represent clients in mergers, acquisitions, divestitures, and other strategic transactions.
• Draft, negotiate, and manage purchase agreements, LLC agreements, and related documents.
• Conduct and supervise due diligence reviews and coordinate closings.
• Advise clients on governance, ownership structures, and ongoing operations.
• Collaborate with investors, lenders, accountants, and opposing counsel throughout the lifecycle of transactions.
• Coordinate with attorneys across practice groups to deliver comprehensive solutions.
