Our client, a leading U.S. law firm, seeks an associate with substantial private equity fund formation experience. Responsibilities include advising sponsors on formation documents, reviewing fund docs, and drafting governing paperwork for fund managers and general partners.

Ideal candidate has JD, 3–7 years’ relevant experience, a good standing law license, and strong written/verbal skills to support a fast-paced, team-oriented environment across multiple major markets.

Qualifications

Job description

A leading law firm is seeking an associate with significant experience in private equity fund formation. The ideal candidate has experience in one or more of the following:

• advising fund sponsors on formation matters (private placement memoranda, partnership agreements, and ancillary documents);
• reviewing fund documentation and negotiating terms on behalf of institutional investors;
• structuring/drafting governing documents for fund management companies and general partners.

A working knowledge of securities regulations, including the Investment Advisers Act, is required. Experience with secondary transactions and/or GP-led restructurings is a plus.

Compensation

Base salary ranges vary by level and location - competitive with market for a leading global firm; $230,000-$485,000, plus full benefits (medical/dental/vision, 401(k), disability, life insurance, tuition reimbursement, PTO, and discretionary bonus).
