Job summary

About the Role

The Paralegal III (Private Equity Finance) is an integral part of Latham’s Legal Professional and Paralegal team. This role will be responsible for providing advanced legal and procedural support to attorneys on complex private equity finance, leveraged finance, acquisition finance, fund finance, and other borrower-side financing transactions, while coordinating transaction logistics from inception through closing, including maintaining transaction checklists, execution processes, closing logistics, and post-closing deliverables. This role will be located in ourWashington, D.C. office. Please note that this role may be eligible for a flexible working schedule that allows for a hybrid and in-office presence.

Responsibilities & Qualifications

Other key responsibilities include:

  • Organizing and maintaining transaction documents, due diligence materials, corporate organizational records, and other financing-related documentation in accordance with firm standards
  • Coordinating UCC, lien, litigation, and corporate searches; reviewing search results for completeness; preparing and filing UCC financing statements, amendments, continuations, terminations, and other related filings
  • Coordinating the preparation, execution, and organization of ancillary transaction documents and closing materials, including signature packets, officer certificates, legal opinions, payoff and release documentation, and closing sets
  • Tracking transaction timelines, closing conditions, key dates, and other critical deliverables to support the timely execution of multiple matters
  • Reviewing transaction materials and filings for accuracy, completeness, and consistency with firm standards and applicable requirements prior to attorney review
  • Coordinating with attorneys, clients, and other transaction participants to support financing transactions
  • Providing guidance and support to junior paralegals and assisting with onboarding, training, and knowledge sharing
  • Protecting and maintaining any highly sensitive, confidential, privileged, financial, and/or proprietary information that Latham & Watkins retains

We’d love to hear from you if you:

  • Possess advanced proficiency with firm technologies and resources, including Microsoft Word, Excel, Outlook, and document management systems, with the ability to quickly learn and apply new tools, integrate technology into workflows, and identify opportunities to streamline processes
  • Exhibit advanced organizational and time management skills, including the ability to independently coordinate complex workflows, manage and prioritize multiple assignments across matters, anticipate timing needs, proactively adjust workload, and make effective prioritization decisions in a deadline-driven environment
  • Display strong attention to detail and accuracy, including the ability to review work product, apply established quality control methods to ensure completeness, formatting, consistency, and compliance, and identify and correct errors prior to submission across multiple matters

And have:

  • A bachelor’s degree or an equivalent
  • A paralegal certificate from an ABA-approved program or a signed declaration if located in a California office
  • A minimum of four (4) years of experience as a paralegal, preferably in a law firm setting

Pay Range
USD $105,000.00 - USD $125,000.00 /Yr.
