Manager, Software Product and Tech Diligence

A&M's Private Equity Performance Improvement Services (PEPI) practice focuses on serving upper middle market and large cap private equity firms who have engaged A&M to help improve operating results at their portfolio companies, specifically in the $50 million to $1 billion plus range.

Private Equity Focused Professionals

We bring a structured and disciplined approach to create and capture value, providing private equity buyers and their portfolio companies with a broad continuum of knowledge and tools for mergers, acquisitions, carve-outs, joint ventures and alliances.

The team works across the full spectrum of the deal lifecycle from pre-deal technology, operational and synergy reviews, through 'Day-1' planning, to post-deal implementations. Our services include due diligence (software product and tech, IT and operational), merger integration / carve-out planning and execution, transition service agreement negotiation & governance, ERP implementations, IT operations & cost reduction, and enterprise architecture.

Manager:

We are seeking individuals to join our team conducting software product and technology due diligence assessments for private equity clients and their portfolio companies. In this role, managers will conduct assessments focused on key areas such as product features, technology architecture, intellectual property, R&D processes, and hosting infrastructure.

These assessments will be conducted across various engagements:

  • Pre-acquisition, buy-side software product and tech due diligence.
  • Pre-transaction, sell-side software product and tech due diligence.
  • Pre-acquisition, synergy and cost take-out assessment for roll-up and tuck-in acquisitions.
  • Post-acquisition, software product and tech related value creation and performance improvement.

A manager will have several roles on the engagement team including:

  • Participate in key target and client interactions, including interviews and updates.
  • Manage the data request list identifying key data required for the assessment.
  • Conduct detailed analysis of the target across all areas of assessment.
  • Summarize key insights into client-ready deliverables.
  • Ensure the quality of deliverables and manage relationships for exceptional performance.
  • Supervise and mentor junior staff.

Qualifications:

  • 5-8 years of professional consulting or relevant industry experience, with a minimum of five years consulting to the tech industry.
  • Desired experience working with private equity sponsors or related transaction experience.
  • Exemplary communication skills, both oral and written.
  • Demonstrated track record working with business leaders and private equity deal staff.
  • Excellent fact-gathering and analytical skills.
  • Previous software/product experience in a software organization or advisory experience.
  • Ability to translate tech insights into commercial implications.
  • Bachelor's degree required, majoring in Computer Science, Engineering, Economics or a related field.
  • Flexibility to travel at least 75% of the time.

The salary range is $125,000 - $190,000 annually, dependent on several variables including education and experience. A&M offers a discretionary bonus program based on individual and firm performance.

Full-time Positions and Part-time Positions Over 30 hours

Regular employees working 30 or more hours per week are entitled to participate in Alvarez & Marsal Holdings' fringe benefits including healthcare plans, flexible spending and savings accounts, life, AD&D, and disability coverages, as well as a 401(k) retirement plan. Provided eligibility requirements are met, employees will also receive a discretionary contribution to their 401(k).
