Job summary

Cytiva, a Danaher operating company, is seeking a Paralegal – North America to support the Global NDA Program from Marlborough, MA. You will independently draft, review, and advise on NDAs and MTAs, while aiding standardized contract workflows and related training materials.

This on-site role collaborates with OpCo projects and the Legal & Compliance team. The ideal candidate has a bachelor’s degree or equivalent, 3+ years in a large law firm or corporate legal setting, and proficiency with MS

• Bachelor’s degree or equivalent experience.
• 3+ years of relevant professional experience in a large law firm, corporate legal department, or in-house legal team, including experience independently reviewing standardized, scalable contracts.
• Experience working with common contract templates, including NDAs and MTAs.
• Proficiency with legal research databases, Microsoft Office Suite, and digital case lifecycle workflows.
• Experience supporting legal administrative operations such as service of process intake, legal holds administration, or shared inbox monitoring.

Responsibilities

• Support Cytiva’s North America NDA program by independently drafting, reviewing, negotiating, and advising on NDAs while escalating complex or high-risk matters as needed.
• Support standardized contract processes, including MTAs and other common agreements, while providing legal support for OpCo projects and transactions.
• Maintain and enhance legal policies, templates, standard terms, fallback positions, user guides, and operational resources to ensure effective and scalable support.
• Develop and deliver training, communications, onboarding materials, and business enablement resources for Legal & Compliance, business functions, and associates across Cytiva and its OpCos.
• Provide legal operations support, including corporate governance, legal holds, service of process coordination, shared inbox management, and cross-functional collaboration to drive efficient and compliant ways of working.

The Paralegal – North America is responsible for supporting Cytiva’s Global NDA Program, including drafting, reviewing, advising on, and assisting North America requestors with non-disclosure agreements. This role also supports critical global legal workflows, including Material Transfer Agreements, business enablement training and communications, onboarding programs, templates, standard work, user guides, and other resources that help make it easier to do business across Cytiva and its operating companies. This position reports to the Associate General Counsel, Operations & Enablement and is part of the Cytiva Legal & Compliance Team located in Marlborough, MA, and will be an on-site role. The role primarily works alongside Cytiva’s Lead Paralegal and Paralegal – EMEA (both based in the UK).

What you will do:

Who you are:

• Bachelor’s degree or equivalent experience.
• 3+ years of relevant professional experience in a large law firm, corporate legal department, or in-house legal team, including experience independently reviewing standardized, scalable contracts.
• Experience working with common contract templates, including NDAs and MTAs.
• Proficiency with legal research databases, Microsoft Office Suite, and digital case lifecycle workflows.
• Experience supporting legal administrative operations such as service of process intake, legal holds administration, or shared inbox monitoring.

It would be a plus if you also possess previous experience in:

• Degree or certification in Paralegal Studies or a related field, or paralegal certification from an accredited program completed or in progress.
• Experience in the life sciences industry or another regulated industry.
• Experience using AI, automation, or workflow tools to streamline legal processes.

The annual salary range for this role is $80,000-110,000. This is the range that we in good faith believe is the range of possible compensation for this role at the time of this posting. This range may be modified in the future. This job is also eligible for bonus/incentive pay. We offer a comprehensive package of benefits including paid time off, medical/dental/vision insurance and 401(k) to eligible employees. Note: No amount of pay is considered to be wages or compensation until such amount is earned, vested, and determinable.
