KEY RESPONSIBILITIES
Retail Leasing - New Stores and Renewals
- Prepare, redline, and circulate letters of intent, leases, amendments, renewals, extensions, terminations, licenses, and short-term/pop-up agreements under attorney supervision.
- Draft and track ancillary documents: estoppel certificates, subordination and non-disturbance agreements (SNDAs), memoranda of lease, guaranties, commencement date agreements, and delivery notices.
- Manage renewal and option decisions end to end - flag upcoming option windows, gather Real Estate and Operations input, and ensure notices are delivered accurately and on time.
- Serve as the day-to-day contact for landlords, brokers, property managers, and landlord counsel on document status and open items.
- Maintain deal checklists and closing/execution trackers, and route documents for signature under the company's signature authority policy.
Lease Administration and Abstracting
- Abstract executed leases and amendments into the lease administration system with a high degree of accuracy - rent schedules, term and option dates, CAM and tax obligations, use and exclusivity clauses, co-tenancy provisions, assignment and sublease rights, and insurance requirements.
- Own the critical date calendar for the portfolio and drive the reminder cadence so no option, kick-out, or notice deadline is missed.
- Support Finance and Lease Accounting on rent, CAM, and real estate tax reconciliations, percentage rent reporting, and landlord billing disputes by interpreting and citing the governing lease language.
- Respond to internal questions from Store Operations, Facilities, Marketing, and Construction on lease rights and restrictions - signage, hours, alterations, maintenance and repair obligations, and permitted use.
- Maintain the electronic lease file and document repository, including version control, naming conventions, and audit-ready recordkeeping.
Acquisitions and Dispositions
- Support purchase and sale agreements, assignments, and related transaction documents from letter of intent through closing.
- Coordinate due diligence: order and organize title commitments, surveys, zoning reports, environmental reports, UCC and lien searches, and entity documents; prepare summaries of title exceptions and survey issues for attorney review.
- Track due diligence and closing deadlines, prepare closing checklists, assemble signature packets, and coordinate with title companies, escrow agents, brokers, lenders, and outside counsel.
- Handle post-closing work - recording, closing binders, and updating internal property and entity records.
Cross-Functional and Departmental Support
- Prepare and maintain entity records, certificates of good standing, and authorizing resolutions for the entities holding real estate interests.
- Track outside counsel engagements, budgets, and invoices for real estate matters.
- Build and improve templates, forms, playbooks, and process documentation so the team can scale with the store growth plan.
- Support the broader Legal team on adjacent matters as needed, including vendor and construction-related agreements.
- Draft letters and assist in preparing legal pleadings and documents. Perform legal and factual research. Prepare and assemble reports.
QUALIFICATIONS
- 3-5 years of paralegal experience, with meaningful time in commercial real estate - retail leasing experience at a retailer, restaurant group, landlord, developer, or law firm is strongly preferred.
- Working command of retail lease structure and vocabulary: base and percentage rent, CAM, gross-up, exclusives, co-tenancy, kick-out rights, holdover, assignment and subletting, and delivery/possession mechanics.
- Demonstrated ability to abstract dense documents accurately and summarize them clearly for non-lawyers.
- Willingness to flex outside of real estate responsibility to assist in other growing aspects of the business over time.
- Exceptional organization and follow-through across a high volume of simultaneous deals with hard, externally imposed deadlines.
- Strong written and verbal communication, with the judgment to know what to elevate to counsel and what to resolve independently.
- Proficiency with Microsoft Word (including redlining and styles), Excel, and document management or e-signature platforms; experience with a lease administration system is a plus.
- Discretion with confidential business and financial information.
