Reporting to the (Director, Legal Operations), the Corporate Paralegal will support the PlanSource Legal Team in the maintenance of the corporate governance and entity management function. The successful candidate brings a solid understanding of corporate law, exceptional attention to detail, and the ability to thrive in a collaborative, fast-paced environment.

Responsibilities include:

  • Corporate Governance: Assist with managing corporate governance matters, including drafting resolutions, maintaining corporate minute books, and assisting with the filing and tracking of business licenses.
  • Entity Management: Oversee corporate entity management, including the formation, dissolution, and ongoing maintenance of domestic and international entities. Ensure compliance with registered agent requirements and jurisdictional reporting deadlines.
  • TPA and Producer License Management: Oversee and maintain all regulatory licensing requirements for Third-Party Administrator (TPAs) and insurance producers across multiple jurisdictions to ensure timely renewals, accurate filings, and full compliance with state and federal regulations, supporting the company’s operational integrity and legal standing.

Conduct legal research as needed and provide support on various regulatory and compliance matters.

Collaborate with internal and external counsel to ensure all corporate records, contracts, and filings comply with relevant laws and regulations.

Maintain and track corporate policies and ensure adherence to compliance requirements.

Assist with special projects and additional duties as deemed necessary by management.

About You

Necessary Strengths, Skills, and Competencies

  • Minimum of 5-10 years of experience as a corporate paralegal, preferably with exposure to both law firm and in-house environments.
  • Strong expertise in corporate governance and entity management; experience with TPA licenses is a plus.
  • Proficiency with entity management software (CSC preferred).
  • Familiarity with corporate transaction and licensing processes, including due diligence and document preparation.
  • Exceptional organizational and project management skills with the ability to manage and meet multiple deadlines.
  • Strong interpersonal skills and the ability to communicate effectively with team members, executives, and outside stakeholders.
  • High degree of professionalism and discretion in handling confidential and sensitive information.
  • Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint) and comfort using legal research databases.
  • Bachelor’s degree or Paralegal Certificate from an accredited institution is strongly preferred.
