Job Description

Our client is seeking a highly skilled Paralegal to support attorneys in securities transactions and M&A matters. This role involves assisting with the preparation of SEC-related documents, corporate compliance materials, and due diligence for M&A transactions. The ideal candidate will be detail-oriented, proactive, and experienced in supporting public company and cross-border legal work.

Key Responsibilities
  • Securities & Corporate Support: Assist in the preparation of SEC-related documents including registration statements, annual and quarterly reports, current reports, proxy and information statements, insider ownership reports, and support attorneys in drafting and organizing materials for IPOs, PIPEs, ATMs, and other offerings.
  • Maintain and organize client records, transaction documents, and correspondence.
  • Coordinate with underwriters, issuers, and regulators to support transaction execution.
  • M&A Support: Assist with due diligence processes, including document collection, review, and organization.
  • Prepare closing checklists, signature pages, and transaction binders.
  • Support attorneys in drafting and reviewing deal documents.
Qualifications
  • Experience supporting securities transactions and M&A matters; detail-oriented and proactive.
  • Strong organization and document management skills.
  • Ability to work with cross-border matters and public companies.
  • Excellent communication and coordination with attorneys, underwriters, issuers, and regulators.
