Job summary

Akron Children's seeks a Paralegal to support the Legal, Risk Management, and Compliance Department with transactional, contract, real estate, and governance matters. You will report to the VP, Senior Associate Counsel and coordinate with hospital personnel, outside counsel, and stakeholders on complex legal issues.

This onsite, full-time position requires 3+ years of paralegal experience (or 5+ with an Associate's), a strong understanding of corporate governance, and proficiency in MS Office.

Qualifications

  • Bachelor's Degree with 3+ years paralegal experience in law firm or in-house legal department.
  • Alternatively an Associate's Degree with 5+ years of paralegal experience.
  • Paralegal Certificate strongly preferred.
  • Experience with corporate governance, real estate, contracts, or regulatory matters is a plus.

Responsibilities

  • Works directly with in-house counsel to perform corporate, contract, and real estate transaction duties; prepares and organizes files, drafts and revises agreements, conducts legal research, tracks status and deadlines, coordinates review and execution of documents.
  • Drafts, reviews, revises, and tracks legal documents including confidentiality agreements, vendor agreements, service agreements, amendments, renewals, and termination notices.
  • Serves as a liaison between in-house counsel, Hospital departments, outside counsel, vendors, and governmental offices to facilitate contract review, due diligence, real estate transactions, and tax exemption applications.
  • Assists with legal support related to nonprofit governance, regulatory matters, and department operations.
  • Assists with real estate transactions and property matters including leases, easements, and title/survey materials.
  • Assists with collection and organization of corporate documents, tax forms, governance records, and other materials for contracts and matters.
  • Supports department leaders and completes special projects as assigned.

  • Works directly with in-house counsel to perform a broad range of corporate, contract, and real estate transaction-related duties, including preparing and organizing contract and transaction files, drafting and revising agreements and related documents, conducting preliminary legal and business research, tracking transaction status and deadlines, and coordinating review and execution of transactional documents.
  • Drafts, reviews, revises, and tracks legal documents, including confidentiality agreements, vendor agreements, service agreements, amendments, renewals, termination notices, and other transactional documents as assigned.
  • Serves as a liaison between in-house counsel, Hospital departments, outside counsel, vendors, business partners, governmental offices, and other stakeholders to facilitate contract review, due diligence, real estate transactions, tax exemption applications, and completion of transactional matters.
  • Assists with legal support related to nonprofit corporate governance, organizational records, healthcare regulatory matters, and other legal department operational needs.
  • Assists with real estate transactions and property-related matters, including purchase and sale agreements, leases, easements, closing documents, title and survey materials, recordings, and applications for real property tax exemption.
  • Assists with collection, review, and organization of corporate documents, tax forms, certificates of insurance, governance records, and other supporting materials required for contracts, transactions, and legal department matters.
  • Supports other department leaders and completes special projects and other duties as assigned.
Technical Expertise
  • Experience working as a transactional, corporate, healthcare, contract, or real estate paralegal is strongly preferred.
  • Understanding of healthcare law, nonprofit corporation law, and/or real estate transactions is a plus.
  • Excellent critical thinking and communication (written and verbal) skills are required.
  • Strong organizational skills and attention to detail are required, including the ability to manage multiple matters, track deadlines, and follow up on outstanding items.
  • Proficiency with Microsoft Office (Word, Outlook, Excel) programs is required. Experience with legal research, contract management, and matter management programs is preferred.
  • Must have the ability to exercise discretion and handle sensitive information with confidentiality.
Education And Experience
  • Education: Bachelor's Degree and a minimum of 3 years of experience working as a paralegal in a law firm or in-house legal department, or (b) Associate's Degree and a minimum of 5 years of experience working as a paralegal in a law firm or in-house legal department.
  • Certification: Paralegal Certificate is strongly preferred.
  • Years of relevant experience: Bachelor's Degree and a minimum of 3 years of experience working as a paralegal in a law firm or in-house legal department, or (b) Associate's Degree and a minimum of 5 years of experience working as a paralegal in a law firm or in-house legal department.
