Outside Counsel – Advertising Agreements

Job Title: Outside Counsel – Advertising Agreements (Remote, Contract)

Location: Remote (MUST BE LOCATED IN ARIZONA)

Position Type: Part-Time (20 hours per week for 6 months)

Hourly Rate: $75 - $125/hour, commensurate with experience

Role Overview:

We are seeking an experienced Outside Counsel to support our team in reviewing and negotiating agreements with advertisers (brands), channel partners and suppliers. This includes managing redlines on Master Service Agreements (MSAs) and Statements of Work (SOWs).

Key Responsibilities:

  1. Review, draft, and negotiate MSAs, SOWs, and supplier agreements.
  2. Manage redline processes efficiently while maintaining clear communication with in-house counsel and other stakeholders.
  3. Collaborate with in-house counsel to address complex legal and business considerations.
  4. Provide legal advice and guidance on terms related to advertising and marketing agreements.
  5. Ensure agreements reflect the company’s business objectives and minimize risk.
  6. Maintain detailed records of agreement statuses, updates, and approvals.

Qualifications:

  1. J.D. from an accredited law school and active bar membership in any U.S. jurisdiction.
  2. 3+ years of experience in drafting, reviewing, and negotiating commercial contracts.
  3. Familiarity with advertising agreements and working with advertisers.
  4. Strong understanding of contract law, risk assessment, and compliance issues.
  5. Exceptional attention to detail, organizational skills, and responsiveness.
  6. Ability to work independently while maintaining alignment with the company’s business objectives.
  7. Previous experience working with startups or small businesses is a plus.
