Qualifications

• Strong hands-on experience with 10-Qs, 10-Ks, 8-Ks and SEC reporting.
• Proven track record of completing multiple public-company financings with diverse instruments.
• Experience in working with Nasdaq rules and small-cap public company compliance.

Responsibilities

• Own SEC reporting and financial statements preparation, including quarterly and annual filings.
• Lead capital markets activities, financing transactions, PIPEs, ATMs, and related instruments.
• Oversee audit, accounting policies, and internal controls with auditors and counsel.
• Manage M&A diligence, valuation, integration, and post‑acquisition reporting.
• Coordinate with investors, banks, and regulators to ensure timely disclosures.
