Duties:
  • Advise clients on federal income tax matters related to energy transactions, including renewable and conventional projects
  • Draft and negotiate partnership and LLC agreements involving complex allocation and distribution provisions
  • Prepare tax memoranda and formal legal opinions to support transaction structures
  • Assist with due diligence and the integration of tax-efficient strategies in M&A and joint ventures
  • Collaborate across teams to structure deals with legal precision and commercial sensibility
  • Participate in firm-wide initiatives supporting tax education, mentorship, and innovation in client service
  • Maintain compliance with evolving tax regulations applicable to energy and infrastructure investments
Requirements:
  • Substantive experience in transactional tax matters, especially energy-related projects
  • Knowledge of partnership tax rules, including drafting agreements and structuring investments
  • Familiarity with tax aspects of project finance, investment funds, or energy credits is a plus
