Duties:

  • Advise clients on the formation, structuring, and operation of private investment funds, including private equity funds, venture capital funds, hedge funds, and real estate opportunity funds.
  • Draft and negotiate fund formation documents, including limited partnership agreements, private placement memoranda, and subscription documents.
  • Assist with the establishment of fund governance structures and investor relations, ensuring compliance with applicable laws and regulations.
  • Provide legal counsel on ongoing fund operations, including investment transactions, fundraising, and capital calls.
  • Collaborate closely with partners and other legal teams on cross-functional matters, providing effective communication and solutions.
  • Manage client relationships and oversee transactions to ensure timely and successful execution.

Requirements:

  • 5-6 years of experience in private funds law, with a strong focus on fund formation and operations.
  • Experience working with private equity, venture capital, and hedge funds, among other fund types.
  • Ability to communicate complex legal concepts clearly and concisely, both orally and in writing.
  • Strong leadership abilities with a demonstrated commitment to professional excellence.
  • Admission to theState Bar or eligibility to waive in.

Education:
