Responsibilities

• Analyze Internal Revenue Code and Treasury Regulations as they apply to energy projects.
• Draft and negotiate transaction documents related to tax credits and investments.
• Advise tax equity investors and project lenders on state and local tax considerations.
• Provide guidance on M&A transactions related to energy assets.

Overview

A law firm seeks a highly motivated mid-level associate to counsel in Denver, CO, to join its nationally recognized Tax practice. The role focuses on renewable energy transactions and federal tax credit monetization structures, offering the opportunity to work on sophisticated transactions involving wind, solar, battery storage, and other energy transition assets.

Duties

• Advise clients on federal income tax aspects of renewable energy transactions, including ITC/PTC qualification, structuring, and compliance.
• Counsel sponsors, investors, and lenders on tax credit transferability, direct pay, and credit monetization strategies.
• Analyze and apply complex provisions of the Internal Revenue Code and Treasury Regulations.
• Draft and negotiate transaction documents, including various agreements related to tax credits and investments.
• Advise tax equity investors and project development lenders on state and local taxes applicable to renewable energy projects.
• Provide guidance on M&A transactions.

Requirements

• JD from an accredited law school with strong academic credentials.
• 5+ years of relevant tax experience at a law firm.
