Profile

A leading law firm is seeking a highly qualified mid-level associate to join its Private Investment Funds practice. The ideal candidate will have 3-5 years of experience in fund formation transactions within the private equity, real estate, or technology sectors. This position offers an exciting opportunity to work on private placements, unregistered funds, and regulatory matters related to the Investment Company Act and the Investment Advisers Act.

Responsibilities
  1. Manage significant components of fund formation transactions as part of a team
  2. Handle private placements under the 33 Act and unregistered funds under the Investment Company Act
  3. Gain exposure to the Investment Advisers Act and related regulatory matters
  4. Collaborate with senior associates and partners to provide strategic advice to clients
  5. Manage client relationships and contribute to business development
  6. Draft and review legal documents, including fund formation documents and offering memoranda
Minimum Requirements
  1. 3-5 years of experience in private investment funds, including private equity, real estate, or technology sectors
  2. Strong experience with fund formation, private placements, and investment company laws
  3. Ability to manage substantial components of transactions independently
  4. Excellent written and verbal communication skills
  5. Juris Doctor (JD) from an accredited law school
  6. Eligible for bar admission in the practicing state
