A leading law firm is seeking a highly qualified mid-level or senior associate to join its Life Sciences transactional group in San Francisco. The ideal candidate will have experience handling a broad range of corporate transactions for life sciences companies and healthcare investment funds. This role focuses on public and private capital markets offerings, M&A, and reporting requirements for public companies. Location

Duties

  1. Handle a broad range of corporate transactions for life sciences companies and healthcare investment funds.
  2. Lead or assist in public capital markets offerings (IPOs, follow-on offerings, ATM facilities).
  3. Work on private offerings, including PIPEs and venture capital financings.
  4. Advise clients on 1934 Act reporting, including filing Forms 10-K, 10-Q, and 8-K.
  5. Participate in public and private company M&A transactions, including structured deals such as earnout-based transactions, product acquisitions, and spin-out transactions.
  6. Collaborate with cross-functional teams on complex corporate matters in the life sciences and healthcare sectors.
  7. Assist clients in navigating regulatory and compliance challenges.

Requirements

  • Law school class years 2018 to 2022.
  • Experience in corporate transactions, particularly in the life sciences and healthcare sectors.
  • In-depth knowledge of public and private capital markets, M&A, and related transactions.
  • Experience with public company reporting requirements and SEC filings (Forms 10-K, 10-Q, 8-K).
  • Strong understanding of IPOs, follow-on offerings, PIPEs, venture capital financings, and structured deals.
  • Ability to manage multiple projects simultaneously and meet deadlines.
  • Excellent client management and communication skills.
  • Ability to work independently and in a collaborative team environment.
  • California bar admission or eligibility to obtain admission promptly.

Education

  • J.D. (Juris Doctor) degree from an accredited law school

Certifications

  • Active license to practice law in California, or eligibility to obtain California bar admission promptly.
