  • Draft, review, and negotiate transactional documents such as purchase agreements, shareholder agreements, operating agreements, and other corporate contracts.
  • Conduct and manage due diligence processes.
  • Provide general counsel services to corporate clients, including entity formation, governance, and compliance matters.
  • Collaborate with cross-functional teams across offices and practice areas.
  • Support senior attorneys in managing client relationships and business development initiatives.
  • Embrace technological changes in tools and approach to practicing law and advising clients, including responsible and appropriate use of AI resources.
  • Invest in your career through leadership and skills training.
  • Invest in others through mentoring and developing the talent around you.

  • Managing complex M&A projects and timelines, interacting with subject matter experts and junior resources, preparing equity and asset purchase agreements and ancillary documentation, and conducting and summarizing legal due diligence in M&A transactions, with an emphasis on private equity transactions and private target M&A.
  • Significant attention to detail and ability to interact successfully with clients, investment bankers, and other advisors.
  • Excellent written and oral communication skills, analytical skills, and the ability to distill complex information into actionable advice.
  • Strong drafting, negotiation, and analytical skills.
  • Ability to manage multiple projects and deadlines independently.
  • Collaborative team player who thrives in a fast-paced, high-performance environment.
  • Ownership mentality and the ability to assume a high degree of responsibility.
  • Licensed to practice law and in good standing with the Colorado state bar.
