Hirschler seeks an experienced associate to join our Chambers-rated Mergers & Acquisitions and Corporate Business Services Groups in Virginia. You will work on sophisticated transactions for private equity firms, founder-owned businesses, and strategic buyers, collaborating with partners across diverse practice areas.

The role emphasizes leading deals from LOI through closing, drafting and negotiating key agreements, and advising on governance and growth.

Hirschler, a dynamic, multispecialty law firm headquartered in Richmond, Virginia, is seeking an experienced associate to join our Chambers-rated Mergers & Acquisitions and Corporate Business Services Groups. This is an exceptional opportunity to work on sophisticated transactions as part of a collaborative team representing private equity firms, founder-owned businesses, family-owned companies, investors, and strategic buyers across a broad range of industries.

Our attorneys serve as trusted business advisors to clients throughout the business lifecycle, from formation and growth through capital raises, acquisitions, strategic transactions, and exits. The successful candidate will play a meaningful role in high-value domestic and international transactions while developing strong client relationships and working directly with experienced partners.

About the Role

As a member of our M&A team, you will:

• Lead and support merger, acquisition, divestiture, and private equity transactions from letter of intent through closing
• Draft, review, and negotiate purchase agreements, disclosure schedules, ancillary agreements, and other transaction documents
• Conduct and manage legal due diligence investigations and coordinate transaction workstreams
• Advise clients on a variety of corporate governance, business, and operational matters
• Counsel privately held businesses on strategic growth initiatives, ownership transitions, and capital transactions
• Collaborate with attorneys across the firm's tax, employee benefits, finance, real estate, labor and employment, and other practice areas to deliver comprehensive solutions
• Develop direct client relationships and participate in strategic deal negotiations
• Work on matters involving clients throughout the United States and internationally

Qualifications

• At least 3 years of transactional experience with a strong emphasis on mergers and acquisitions, corporate transactions, and representation of privately held companies
• Experience drafting and negotiating principal transaction documents and managing due diligence processes
• Strong analytical, problem-solving, and organizational skills
• Excellent written and verbal communication abilities
• A collaborative approach and commitment to exceptional client service
• The ability to manage multiple matters in a fast-paced environment while exercising sound judgment
• Admission to practice law in Virginia, or eligibility to become admitted promptly

Preferred Qualifications

• Experience representing private equity sponsors, portfolio companies, investors, or management teams
• Familiarity with debt and equity financing transactions
• Background advising middle-market businesses and entrepreneurs
• Experience managing junior team members and transaction workflows
