Overview

• Focuses primarily on private fund formation, with an emphasis on private equity, private credit, real estate and other real assets, entertainment, and venture capital funds.
• Requires experience drafting and reviewing fund-related documentation, including private placement memoranda, subscription documents, and LLC and partnership agreements.
• Requires experience representing institutional investors in negotiating private fund investments.
• Working knowledge of relevant securities rules and regulations, including the Investment Advisers Act, is necessary.
• Sheppard’s Investment Management team advises private fund sponsors on forming various U.S. and international pooled investment vehicles and bespoke fund-of-one arrangements, and on applicable laws and regulations.
• The team also represents significant institutional investors in allocating capital to private fund investments (including primary, secondary, and coinvest transactions) and counsels investment advisory firms on operational matters including internal governance, compliance, carried interest, co-investment arrangements, spinouts, GP stakes, secondaries, reorganizations, fund restructurings, and portfolio acquisitions and dispositions.
• The position involves close collaboration with Sheppard’s private equity, real estate finance, EB-5 project finance, consumer finance, and fintech industry teams, offering opportunities to develop specialized expertise in various client portfolio assets.
• Sheppard emphasizes early and frequent direct client work as part of associate training.
• Prior experience at an AmLaw 100 firm is required.
