Key Responsibilities:

• Advise public and private companies on compliance with the Securities Act of 1933 and the Securities Exchange Act of 1934

• Prepare and review registration statements, prospectuses, and ongoing disclosure documents

• Draft and negotiate offering materials, including purchase agreements, underwriting agreements, indentures, and closing sets

• Counsel clients on periodic reporting and compliance obligations under federal securities law

• Interpret evolving SEC regulations and apply them to corporate filings and business strategies

• Handle documentation for equity and debt offerings, including IPOs and follow-on offerings

• 3+ years of experience in capital markets and securities law

• Hands-on experience preparing SEC filings and advising on compliance matters

• Admission to the New York Bar (or eligibility to waive in)

• Juris Doctor (J.D.) from an accredited U.S. law school or LL.M. equivalent

• Exceptional drafting, negotiation, and analytical skills

• Detail-oriented approach to managing complex transactional matters

• Strong interpersonal and communication skills with client-facing experience
