Key Responsibilities:

• Represent corporate trust clients and financial institutions in structured finance and debt transactions

• Draft and negotiate a range of agreements, including indentures, loan and custody agreements, and NDAs

• Advise on municipal and corporate issuances, RMBS/CMBS/ABS transactions, and finance facilities

• Collaborate with attorneys and clients across multiple offices on transactional matters

• Manage concurrent deals and prioritize deadlines in a fast-paced setting

Qualifications:

• 2–4 years of relevant transactional experience, preferably in finance or restructuring

• JD from an accredited law school; strong academic credentials preferred

• Admission to practice in a U.S. jurisdiction; eligibility for CA Bar if not already admitted

• Strong drafting, negotiation, and contract review skills

• Detail-oriented, organized, and proactive approach to client service
